1.105 +Government prime contractor or subcontractor (at any tier), then
1.106 +the Government's rights in Software and accompanying
1.107 +documentation will be only as set forth in this Agreement; this
   1.108 +is in accordance with 48 CFR 227.7201 through 227.7202-4 (for
1.109 +Department of Defense (DOD) acquisitions) and with 48 CFR 2.101
   1.110 +and 12.212 (for non-DOD acquisitions).
   1.111 +

1.113 +governed by California law and controlling U.S. federal law. No
1.114 +choice of law rules of any jurisdiction will apply.
   1.115 +
1.116 +10. Severability. If any provision of this Agreement is held to
1.117 +be unenforceable, this Agreement will remain in effect with the
1.118 +provision omitted, unless omission would frustrate the intent of
1.119 +the parties, in which case this Agreement will immediately
   1.120 +terminate.
   1.121 +
1.122 +11. Integration. This Agreement is the entire agreement between
1.123 +you and Sun relating to its subject matter. It supersedes all
1.124 +prior or contemporaneous oral or written communications,
1.125 +proposals, representations and warranties and prevails over any
1.126 +conflicting or additional terms of any quote, order,
1.127 +acknowledgment, or other communication between the parties
1.128 +relating to its subject matter during the term of this Agreement.
1.129 +No modification of this Agreement will be binding, unless in
1.130 +writing and signed by an authorized representative of each party.
